Notice of proposed minor amendment to constitution

Pursuant to section 31 of the Incorporated Societies Act 2022 (ISA), the Committee proposes to make the following minor/technical amendment to the Bay Olympic Constitution.  

This amendment is required to enable Bay Olympic to keep its registration as a charity.  In order to re-register as a charity, our Constitution must provide that any surplus assets on liquidation are applied only to charitable purposes, whereas our present Constitution allows surplus assets to be applied to non-profit organisations.

Proposed amendment

Current Clause 34.2:

“In the event that the Club is liquidated then all the residue of its property and assets, after meeting all its debts and liabilities shall be divided between such non-profit organisations, which operate wholly or partially in West Auckland and whose objects include the promotion of Football in that region, as New Zealand Football Incorporated in its absolute discretion determines.”

Proposed Amended Clause 34.2 (deletions shown in strikethrough and additions in bold):

“In the event that the Club is liquidated then all the residue of its property and assets, after meeting all its debts and liabilities shall be divided between such non-profit charitable organisations, which operate wholly or partially in West Auckland and whose objects include the promotion of Football in that region, for a similar charitable purpose, as New Zealand Football Incorporated in its absolute discretion determines.”

If you object to this amendment being made, you must notify the Committee in writing at secretary@bayolympic.co.nz no later than 20 July 2026.   If the Committee does not receive an objection from any member by this date, the amendment will be formally made and registered.  If an objection is received, this amendment process under s 31 will be cancelled, and the amendment will instead need to be proposed for approval at a General Meeting.
